2. Prohibited Activities and Conduct

You agree not to engage in any of the following prohibited activities:

• Using our services for any unlawful purpose or to facilitate illegal activities
• Providing false, inaccurate, or misleading information to us or our producer partners
• Attempting to circumvent our business processes or established procedures
• Engaging in any form of harassment, abuse, or threatening behavior toward our staff or partners
• Interfering with or disrupting the integrity or performance of our website or services
• Attempting to gain unauthorized access to our systems, accounts, or data
• Using our platform to compete with our business or recruit our partners
• Copying, reproducing, or distributing our content without permission

3. Content Guidelines and Restrictions

2. Indemnification Obligations

You agree to indemnify, defend, and hold harmless Cavus Origin, its officers, directors, employees, agents, and partners from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms and Conditions, or your violation of any rights of third parties.

3. Privacy and Data Protection

You acknowledge that you have read and understood our Privacy Policy, which governs how we collect, use, and protect your personal information. You agree to our data processing practices as described in that policy and consent to any necessary data transfers required to provide our services.

4. Third-Party Interactions

While we facilitate introductions to Vietnamese coffee producers and cooperatives, you acknowledge that:

• We are not party to agreements between you and producers
• You are responsible for conducting your own due diligence
• We do not guarantee the performance or reliability of third parties
• All business arrangements should be documented in writing
• You should seek legal and financial advice as appropriate

1. Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• Warranties regarding the accuracy, reliability, or completeness of information
• Warranties that our services will be uninterrupted or error-free
• Warranties regarding the quality or availability of specific coffee lots
• Warranties about outcomes or results from using our services

2. Limitation of Liability

To the maximum extent permitted by applicable law, Cavus Origin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers or personal information
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, or other harmful code transmitted through our services
• Any errors or omissions in any content or information
• Delays in shipments, quality issues, or other problems with coffee sourcing
• Actions or omissions of third-party producers, cooperatives, or service providers

In no event shall our total liability to you for all damages exceed the amount you have paid to us in the twelve months preceding the claim.

3. Consequential Damages Exclusion

We shall not be liable for any consequential, indirect, or punitive damages arising from your use of our services, including but not limited to lost profits, business interruption, loss of business opportunities, or damage to reputation. This exclusion applies even if we have been advised of the possibility of such damages.

4. Force Majeure

We shall not be held liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, weather conditions affecting coffee harvests, political instability, war, civil unrest, labor disputes, government actions, pandemics, or failures of third-party service providers.

1. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without giving effect to any principles of conflicts of law. You agree that any legal action or proceeding arising from these Terms shall be brought exclusively in the courts of Hồ Chí Minh City, Vietnam, and you consent to the jurisdiction of such courts.

2. Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising from these Terms and Conditions or your use of our services, the parties agree to follow this resolution process:

• Step 1 - Informal Resolution: Contact us in writing to describe the issue and attempt good-faith negotiations for at least 30 days
• Step 2 - Mediation: If informal resolution fails, the parties agree to participate in mediation before pursuing litigation
• Step 3 - Arbitration or Litigation: If mediation is unsuccessful, disputes may be resolved through arbitration or court proceedings as appropriate

3. Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

Your continued use of our services following such changes constitutes your acceptance of the modified Terms and Conditions.
